1. Introduction

These Terms & Conditions govern your use of the ClearSlate SA platform operated by Claw Automations (Pty) Ltd ("we", "us", "our"). By signing up for and using our service, you agree to these terms in full.

If you are a registered debt counsellor using our platform for client work, you additionally agree to comply with all applicable provisions of the National Credit Act (NCA) 34 of 2005 and the regulations of the National Credit Regulator (NCR).

2. Definitions

• "Platform" — ClearSlate SA software and AI agents accessible via our website
• "Customer" — The registered debt counsellor or practice using the platform
• "Client" — The end consumer whose debts are being processed through the platform
• "Subscription" — Monthly recurring fee for access to platform features
• "AI Agents" — Automated software tools for credit report analysis and dispute generation

3. Service Description

ClearSlate SA provides AI-powered tools for debt counsellors to:

• Import credit reports from all 4 major SA bureaus (TransUnion, Experian, Compuscan, XDS)
• Analyse accounts against the Prescription Act 68 of 1969
• Generate NCA-compliant dispute letters
• Submit disputes to credit bureaus
• Track case progress and deadlines

Our AI agents are assistive tools. All outputs must be reviewed by a qualified debt counsellor before submission to any bureau or client.

4. Eligibility

You must be:

• A registered debt counsellor under the NCA, or
• An employee/agent of a registered debt counselling practice
• 18 years or older
• Legally capable of entering into binding contracts under South African law

5. Subscription Plans & Billing

Starter Plan: R3,500/month — includes up to 50 clients, 1 user, all 3 AI agents

PRO Plan: R15,000/month — unlimited clients, 5 users, whitelabel, priority support

• All prices are in South African Rand (ZAR) and exclude VAT
• Billing is monthly, in advance, via our payment gateway
• 14-day free trial — no credit card required
• Cancel anytime before the next billing cycle
• No refunds for partial months after cancellation

6. Free Trial

We offer a 14-day free trial with full platform access. At the end of the trial period, your subscription will commence automatically unless you cancel before the trial ends. We will send a reminder email 3 days before trial expiry.

7. Customer Responsibilities

• Maintain the confidentiality of your account credentials
• Ensure all client data uploaded complies with POPIA
• Obtain necessary consent from your clients before processing their credit data
• Review AI agent outputs before acting on them
• Comply with all NCA and NCR regulations in your capacity as a debt counsellor
• Not use the platform for any unlawful purpose

8. Limitation of Liability

ClearSlate SA and Claw Automations (Pty) Ltd provide the platform "as is" and make no guarantees regarding:

• The outcome of any dispute submitted through the platform
• The accuracy of prescription calculations in every case
• Response times from credit bureaus

Our total liability (whether in contract, delict, or otherwise) is limited to the total subscription fees paid by you in the 12 months preceding the claim. We are not liable for indirect, consequential, or punitive damages, including loss of profits, loss of business, or damage to reputation.

9. Intellectual Property

All platform code, AI agent technology, branding, and content are the intellectual property of Claw Automations (Pty) Ltd. You are granted a non-exclusive, non-transferable license to use the platform during your subscription period. You may not copy, modify, reverse-engineer, or redistribute our software.

10. Data Ownership

You retain full ownership of all client data you upload to the platform. We act as a data processor under POPIA. Upon cancellation, you may request export of your data. After 12 months from cancellation, we may permanently delete your data.

11. Termination

Either party may terminate the subscription at any time. We may terminate or suspend access immediately if:

• You breach these terms
• You use the platform for unlawful purposes
• You fail to pay subscription fees
• We suspect fraud or security abuse

Upon termination, your access will be revoked and data export options will be provided.

12. Dispute Resolution

Any disputes arising from these terms shall first be resolved through informal negotiation. If unresolved, disputes shall be referred to mediation in accordance with the rules of the Credit Ombud. If still unresolved, the dispute may be referred to the High Court of South Africa.

13. Governing Law

These terms are governed by the laws of the Republic of South Africa. Any legal proceedings shall be brought in the courts of South Africa.

14. Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including but not limited to acts of God, power outages, internet service disruptions, government actions, or credit bureau system failures.

15. Changes to Terms

We reserve the right to modify these terms at any time. Material changes will be notified via email at least 14 days in advance. Continued use after changes take effect constitutes acceptance of the modified terms.
